You are agreeing to be bound by our rules, guidelines, and policies when you access our website, click to accept, or use any UNITED COIN Service.
If you are accepting these TERMS on behalf of an entity, you affirm that you have the authority to bind the entity to all TERMS and CONDITIONS of UNITED COIN.
UNITED COIN MATERIALS: include all copyright, trademark, patent, trade secrets, and all other intellectual property rights in our Services.
UNITED COIN SERVICE: all services and uses related to UNITED COIN.ph, UNITED COIN online services, and UNITED COIN’s Android and iOS mobile apps.
FEEDBACK: any information transmitted to UNITED COIN by email, post on any UNITED COIN SERVICE or by any other means.
TERMS: refers to all UNITED COIN’s terms, conditions, policies, guidelines and rules.
YOU CANNOT USE OUR SERVICES IF YOU DO NOT AGREE TO THE FOLLOWING TERMS.
You must be 13 years old or older to use UNITED COIN.
If you use UNITED COIN you agree to comply with these Terms and all applicable laws and regulations in your jurisdiction. All use of UNITED COIN Services must be lawful and for a lawful purpose.
We reserve the right to suspend or terminate your access to UNITED COIN services without notice and solely at our discretion if we determine you reside in a country that prohibits the use of our services or where we are prohibited from doing business.
You are responsible for knowing and complying with all applicable laws in your jurisdiction. By using UNITED COIN you are stating that you are aware of the rules of the country where you are located. You also swear you are not accessing services from within countries where the use of UNITED COIN is prohibited.
Your use of our services indicates that you are not a resident of Afghanistan, Central African Republic, Cuba, Iran, Iraq, Kurdistan, Lebanon, Liberia, Libya, Myanmar, North Korea, Palestinian Territories, Russia, Somalia, Sudan, Syria, Ukraine, Venezuela, Yemen, or Zimbabwe.
Our Privacy Policy describes how we collect, use, and share your personal information. It is located at http://unitedcoin.alphapoint.com/privacy.html.
These terms may change at any time and we will take reasonable steps to inform members of all changes. We will post notices or send emails regarding changes to our Services, privacy policy, technology, and regulations before they take effect.
Generally, changes will go into effective 14 days after being posted and will apply to the use of all relevant services going forward. Changes made for legal reasons or new functions introduced to UNITED COIN will take effect immediately.
You are agreeing to the amended Terms if you continue to use UNITED COIN after changes have gone into effect. Please cancel your account and discontinue using UNITED COIN if you don’t agree to the changes.

UNITED COIN is a platform that allows you to simply and conveniently trade digital assets (for example bitcoin and ether) for legal tender (for example U.S. dollars and euro) and vice versa. You can also trade one type of digital assets for another type of digital asset. You may also directly buy from us and sell to us digital assets through our Service. Further, the range of services UNITED COIN has available to you depends on the country or U.S. state where you are located.
The Services we offer may evolve over time. At our sole discretion, at any time and for any reason, we may change, replace, or discontinue (temporarily or permanently) our Services with or without notice. You may be prevented from accessing or using our Services as a result of our decision. We will provide you with notice, via our website, if we decide to permanently discontinue our Services.
The following are the additional services we offer:
UNITED COIN provides you with a platform that allows you to trade with other user of the Service. UNITED COIN automatically matches your trades with open offers on the platform. Users aren’t able to select specific trades, trade with specific accounts or specific users. Your order may be partially filled or filled by multiple matching orders depending on the open orders available.
Stop Payment Rights: unfortunately you can’t stop or reverse an executed transaction. All executed transactions are sent to the blockchain (the public ledger of all bitcoin transactions ever executed). You must execute a new transaction to correct an unintended transaction.
The Conversion Service: a digital conversion service that allows you to buy bitcoin and other digital currency from UNITED COIN, and to sell bitcoin and other digital currency to UNITED COIN.
A Currency Wallet: in certain countries, verified users (the Verification Procedures are explained in the VERIFICATION section below) may fund accounts with Euros, British Pounds, U.S. Dollars or Canadian Dollars. These accounts may be used with the Conversion Service, the Exchange Service, and/or other Services as UNITED COIN may permit.
Bitcoin or Digital Currency Purchases: you may purchase bitcoin or other digital currency from UNITED COIN, subject to applicable limits, after successfully completing the applicable verification steps. The Verification Procedures are described in the VERIFICATION section below.
First, UNITED COIN will instruct its bank to initiate a debit to your primary payment method on file or directly from your Digital Currency Wallet (Ex. USD). If the payment is not successful, then the bank will debit any payment method you have on file, in an amount equal to: (a) the total number of bitcoin or other digital currency ordered for purchase multiplied by the rate quoted on the UNITED COIN Site at the time that you initiate the transaction, plus (b) the applicable Conversion Fee (defined below), plus (c) additional fees as may be applied in the event that UNITED COIN cannot draw funds from your payment method and must charge a backup payment method.
UNITED COIN will provide a tentative date by which your bitcoin or other digital currency will be available in your wallet. These dates partially depend on the time required for your funds to be transferred to UNITED COIN for payment. Transfer times are subject to the rules of your jurisdiction and the terms of the payment method you use. UNITED COIN cannot speed up delivery times.
Funds may be debited from your primary payment method before bitcoin or other digital currencies are delivered to your UNITED COIN account. UNITED COIN will attempt to deliver bitcoin or other digital currency to your account as quickly as possible.
You cannot cancel, reverse, or change an order, if your bitcoin or other digital currency purchase is marked as complete or pending in your Bitcoin Wallet or other digital currency wallet. UNITED COIN reserves all rights to cancel orders at its discretion.
UNITED COIN will use all good faith efforts to fulfill each purchase order at the applicable Buy Price Conversion Rate quoted on the UNITED COIN Site at the time your order was placed. This pertains to any and all purchases of bitcoin or other digital currency directly from UNITED COIN.
At times it may be necessary for UNITED COIN to delay fulfillment of a purchase order. Our ability to fulfill purchase orders is influenced by the availability of bitcoins or other digital currency for sale. We will delay fulfilment until we are able to execute the transaction.
When UNITED COIN is able to fulfill your order we will notify you of the amount of bitcoin or other digital currency that you will receive and the latest applicable rate quoted on UNITED COIN. We will notify you before the order is completed. UNITED COIN will only execute the transaction upon your further approval in those cases.
UNITED COIN reserves the right to change fee amounts or charge additional fees at our discretion. In that event we will provide you at least 30 days advance notice of any such changes to the fees.
UNITED COIN acts as a custodian for any bitcoins or other digital currencies transferred to a UNITED COIN Wallet. As a result, UNITED COIN does not obtain any title or interest, legal or beneficial right, in your bitcoins or other digital currencies that are stored in your Wallet.
Please note, that UNITED COIN may give you a small amount of bits for creating an account with UNITED COIN (bits are a fractional amount of bitcoins equal to 0.000001 of one bitcoin). You will not have a legal or beneficial right to these bits from UNITED COIN, unless and until you have verified your identity with UNITED COIN. Further, your use of and access to UNITED COIN Services may be restricted.
These bits will be transferred to you and become you property after you have verified your identity with UNITED COIN and UNITED COIN has concluded that your use of the UNITED COIN Services does not violate applicable laws. UNITED COIN will not retain any legal or beneficial right to these bits.
UNITED COIN is not able to and does not guarantee the value of bitcoins or other digital currency. Bitcoins and other digital currency are not legal tender (coins and banknotes that must be accepted if offered in payment of debt). UNITED COIN is not insured by the FDIC or SIPC.
You acknowledge and agree that buying, selling, and holding bitcoins or other digital currencies involves great financial risk. The value of bitcoins and the value of all other digital currencies are highly volatile. You assume all financial risk associated with bitcoins and digital currencies.
Further, the bitcoin consensus network is exclusively in charge of verifying and confirming all proposed transactions that are submitted through UNITED COIN Services. As a result, UNITED COIN is not able to and therefore does not confirm, cancel, or reverse digital transactions. We can only offer confirmation of the bitcoin network's completion of a transaction.
A decentralized network of independent third parties is responsible for operating the bitcoin network. Once a transaction request has been submitted to the bitcoin network via the Services, you will not be able to cancel or otherwise change your transaction request. The bitcoin network will automatically complete or reject the request.
You state and agree that UNITED COIN is not accountable for any inaccuracies or exclusions that you make in relation to any bitcoin and other digital currency transaction originated through the UNITED COIN Service.
UNITED COIN role is limited to helping you submit your bitcoin or other digital currency transaction request for confirmation to the bitcoin network. UNITED COIN does not have any authority over the bitcoin network through which bitcoin and digitized fiat currencies are transferred. Thus, UNITED COIN cannot and does not guarantee the completion of any transaction request you submit via the Services.
We cannot and do not guarantee the completion of any transactions in other digital currency networks, known as “blockchains.” You state your understanding and accept that the transaction requests you submit via the UNITED COIN Services may not be completed. Also, these transaction requests may be substantially delayed, by the bitcoin network or similar blockchain networks for other digital currencies.
You are authorizing UNITED COIN to submit your transaction request to the bitcoin network through the UNITED COIN Services, when you complete a transaction request via our Services. All transactions will comply with the instruction you give to UNITED COIN.
You may sign-up for certain services sourced from third-party providers (the “Third-Party Services”) through UNITED COIN at your own discretion. These Third-Party Services may require that additional fees be paid to UNITED COIN or other Third Parties. You will be notified of all such fees.
Your access, continued access, and use of third party services are dependent on your agree and compliance with the added terms required by third-party providers. The third-party terms will be provided to you from time to time by either UNITED COIN or by the third-party provider in question. You can also contact the third-party provider to request the terms.
UNITED COIN cannot and does not represent or claim that the third-party terms it makes available to you are complete and accurate. By consenting to these terms, you accept that:
(a) you are legally bound by such third-party terms, and you will follow all such third-party terms;
(b) no third-party term increases your rights or UNITED COIN’s obligations under UNITED COIN’s Agreement(s);
(c) the different third-party terms that have been posted, that are posted contemporaneously, or that will be posted from time to time, are offered on an individual third-party provider basis. You are not allowed to draw any conclusions by joining together the various third-party terms; and
(d) each third-party provider shall a clearly intended third-party beneficiary of this Agreement in regard to the third-party terms provided by that particular third-party provider and the other terms of this Agreement clearly relevant to all third-party providers in general.
If you fail to follow the applicable third-party terms, Third-party providers may require that UNITED COIN suspend or terminate your access to the Third-Party Services provided through UNITED COIN. And you understand and agree that UNITED COIN shall have no legal responsibility in the event of such suspension or termination.
The UNITED COIN Service produces and saves a cryptographic private and public key pair that allows you to send and receive bitcoins or other digital currency via the bitcoin network after your account is created.
The public key produced by the Services works as your bitcoin wallet address or the wallet address for other digital currencies. This key may be shared with the bitcoin network and with others to perform bitcoin and other digital currency transactions.
The private key only works with the wallet address. This key must be used in conjunction with the wallet address to authorize the transfer of bitcoins or other digital currencies to or from that wallet address.
UNITED COIN retain all interests, rights, and titles in UNITED COIN Materials. UNITED COIN Materials collectively include all copyrights, patents, trade secrets, trademarks, and all other intellectual property rights in our Services. And all other content on our Services, including designs, logo, service marks, our trademark, URLs, and trade names that are displayed on our Service.
You are allowed a limited, non-exclusive, and non-transferable license by UNITED COIN to access and use UNITED COIN Materials for your personal and/or internal business use.
Your use of this license is dependent on you following our Terms. This license does not allow you to resell any UNITED COIN Materials. You are not allowed to distribute, publically display or use in a public performance any of UNITED COIN Materials. Changing or making any other use of the UNITED COIN Materials in whole or partially is prohibited. As is any use of UNITED COIN Materials other than their original intended purposes.
The limited license granted under this Section is for a limited time and purpose. This limited license will automatically terminate if your access to the UNITED COIN Services is suspended or terminated.
UNITED COIN also owns all exclusive rights, including all intellectual property rights, to any feedback, ideas, suggestions, or any other information, statements, or materials relating to UNITED COIN or our Services that you submitted to us.
How this information was transmitted to UNITED COIN does not affect our ownership, whether by email, posting on our Services or by any other means.
All submitted Feedback is not confidential. All submitted Feedback is the exclusive property of UNITED COIN. We are entitled to the unrestricted use and distribution of such Feedback for any purpose without attribution or compensation to you.
You may not use, reproduce, send or publish anything on our website without our clear permission. We reserve all rights not expressly granted to user of UNITED COIN and its Services.
You are only allowed to use our Services for authorized purposes.
You are responsible for keeping the personal information in your account profile up to date and accurate. This includes your email address and mobile phone number.
You are also responsible for all activity associated with your account. Please safeguard your account information, including any personal identification numbers (PINs), passwords, API keys or other codes associated with your account.
You run the risk of your account being illegally accessed and the bitcoins or other digital currency held in your account being stolen if your account information is compromised.
If you believe your account has been compromised, need to report a security incident, experience any operational problems, or have a security concern, please contact us immediately at Support@UNITED COIN.ph describing the issue at hand as thoroughly as possible including the date, type of problem and part of the UNITED COIN site or UNITED COIN Services where you experienced that problem.
You must (i) notify us if there has been any unauthorized use of your password or account or any other breach of security, and (ii) completely exit your account at the end of each session when using UNITED COIN Services.
We are not at fault for any losses you may suffer if you do not comply with this section or you do not follow or act on any warnings, alerts or notices that we relay to you.
You must furnish UNITED COIN with a valid mobile phone number as part of the authentication process and to use UNITED COIN Services.
You consent to receive SMS/text messages from UNITED COIN by creating a UNITED COIN account and accessing UNITED COIN Services. We do not charge you for SMS/text messages we sent, however your mobile carrier’s standard messaging rates will apply.
Your access to UNITED COIN and use of UNITED COIN Services may be restricted if you fail to supply a valid mobile phone number.
Your access to and use of UNITED COIN and UNITED COIN Services may also be restricted or suspended if UNITED COIN doubts that your mobile number is valid or believes that you are using a VOIP service to avoid the requirement to supply a valid mobile phone number.
UNITED COIN reserves the right to deny access to its Services at its discretion. That means UNITED COIN can refuse to open accounts and to temporarily or permanently suspend accounts. Accounts may be refused or suspended in accordance with applicable governmental, regulatory or law enforcement requirements. Accounts may also be refused or suspended if you fail to supply UNITED COIN sufficient information to verify your identity.
Access to UNITED COIN Services is only available to a registered UNITED COIN account holder. You state that the information you give to UNITED COIN to open an account and for any later identity verification is accurate and complete. You also agree to keep your information up to date.
Anyone under 18 years of age is not authorized to use the UNITED COIN Services, with or without registering.
Illegal activities are prohibited on UNITED COIN. You declare you will not use the UNITED COIN Services to engage in illegal activities. Nor will you do anything that has an adverse effect on the way UNITED COIN or its Services functions.
You swear not to personally engage in the following activities or give aid to a 3rd party attempting to do so. This is only a partial list of prohibited activities.
(1) attempt to or gain unauthorized access to our Services or another user's account,
(2) attempt to or bypass our any security features,
(3) attempt to or break any applicable laws, statutes, ordinances, or regulations,
(4) engage in the unauthorized reproduction, modification, sale or resale our Services, and
(5) engage in any act that is offensive or hinders or interrupts our Services.
If UNITED COIN prevents you from accessing the UNITED COIN Services (including by blocking your IP address), you agree not to employ any measures to bypass such blocking (e.g., by masking your IP address or using a proxy IP address).
You are prohibited from using our Services in connection with any transaction related to illegal products or services.
If you breach any part of this section, UNITED COIN reserves the right to temporarily or permanently suspend your account or otherwise restrict your access to the UNITED COIN Services.
By using the UNITED COIN Services you represent that you are not an individual or entity that is, or an entity owned or controlled by persons or entities that are,
(i)the subject of any sanctions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control, the U.S. Department of State, the United Nations Security Council, the European Union, Her Majesty's Treasury, the Hong Kong government, or any other governmental authority with jurisdiction over UNITED COIN or the UNITED COIN Services;
(ii) on the Denied Persons, Entity, or Unverified Lists of the U.S. Department of Commerce Bureau of Industry and Security; or
(iii) located, organized or resident in a country or territory that is, or whose government is, the subject of U.S. economic sanctions, including, without limitation, Cuba, Iran, Iraq, Russia, Libya, Yemen, Zimbabwe, North Korea, Sudan, Belarus, Central African Republic, Democratic Republic of the Congo, Myanmar, or Syria.
You further represent that you will not use the UNITED COIN Services to conduct any transaction with or on behalf of any person or entity listed in clauses (i) through (iii) above or otherwise in violation of law.
If it is determined that you breached any of the above mentioned representations, UNITED COIN may terminate all your access to the UNITED COIN Services without notice.
UNITED COIN may be legally required to withhold, to block your access to, and to report to one or more governmental authorities your property or property interests that are in UNITED COIN's custody or control as a result of sanctions, laws, or regulations that place a duty on UNITED COIN to do so.
These representations, covenants, and obligations are continuing. You must immediately notify UNITED COIN in writing if your status under any of the above-mentioned covenants, representation or obligations changes.
By using UNITED COIN you are deemed to understand and accept all parts of this section.
UNITED COIN and the UNITED COIN logo are our trademarks, registered trademarks or service marks. The mention of any other trademarks on our website or in our mobile apps does not suggest any ownership or claim on our part. All other trademarks remain the property of their respective owners.
OUR SERVICES ARE PROVIDED AS IS. THERE IS NO WARRANTY OF ANY KIND.
You use UNITED COIN at your own risk. We and our licensors, service providers or subcontractors (if any) make no representations or warranties about the suitability of the information, software, products and services contained in our Services for any purpose. Nor their compliance with any accounting rules, principles or laws, and expressly disclaim any representation or warranty that the Services will be free from errors, viruses or other damaging material, that communications to or from the Services will be secure and not intercepted, that the services and other capabilities offered from the Services will be uninterrupted, or that their content will be accurate, complete or timely.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
YOU ACKNOWLEDGE THAT YOU HAVE NOT ENTERED INTO THIS AGREEMENT IN RELIANCE UPON ANY WARRANTY OR REPRESENTATION EXCEPT THOSE SPECIFICALLY SET FORTH IN THESE TERMS.
The disclaimer of implied terms is not binding on consumers in some jurisdictions. Therefore some or all of the disclaimers in this section may not apply to you.
UNITED COIN is not an advisor. We cannot and do not offer any financial, legal, investment, insurance and/or tax advice. Any information provided by UNITED COIN is for general information only. It is your responsibility to make sure you understand the risk associated with all transactions and whether they are suitable for you.
You agree to indemnify us, our employees, agents, consultants, subsidiaries, partners, affiliates, and licensors, against any and all claims, costs, losses, damages, liabilities, judgments and expenses (including reasonable fees for attorneys and other professionals) stemming from or in any way connected to your use of our Services, your violation of these Terms, or your violation of any rights of any other person or entity.
IN NO EVENT WILL UNITED COIN, OUR LICENSORS, SERVICE PROVIDERS OR SUBCONTRACTORS (IF ANY) BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOSS OF USE, LOSS OF DATA OR LOSS OF GOODWILL), STEMMING FROM OR IN CONNECTION WITH THESE TERMS OF USE, OR THE PERFORMANCE OR OPERATION OF OUR SERVICES, YOUR ACCESS TO, DISPLAY OF, USE OF THE SERVICES, OR WITH DELAY OR INABILITY TO ACCESS, DISPLAY OR USE THE SERVICES, ANY COMPUTER VIRUSES, INFORMATION, SOFTWARE, LINKED SITES, PRODUCTS OR SERVICES OBTAINED THROUGH THE SERVICES, OR THE ACT OR OMISSION OF ANY BUSINESS USING OUR SERVICES OR OTHER THIRD PARTY.
WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, AND WHETHER OR NOT WE, OUR LICENSORS, SERVICE PROVIDERS OR SUBCONTRACTORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
UNITED COIN MAKES THIRD-PARTY SERVICES AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS. UNITED COIN MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, REGARDING THE THIRD-PARTY SERVICES. ALL REPRESENTATIONS AND WARRANTIES CONCERNING THIRD-PARTY SERVICES, IF ANY, ARE STATED IN THEIR RESPECTIVE THIRD-PARTY TERMS.
In no event will the aggregate liability of UNITED COIN, our licensors, service providers, or subcontractors for any loss or damage that stems from, or is associated with, any of the occurrences described above exceed the greater of $100 or the service fees that you paid to us for the month that the incident occurred. The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms is found to have failed its essential purpose. The limitations of liability provided in these Terms are for the benefit of us, our licensors, service providers and subcontractors.
THE LIMITATIONS OF LIABILITY DESCRIBED IN THIS SECTION WOULD NOT LIMIT THE AMOUNTS OTHERWISE PAYABLE TO YOU BY UNITED COIN AS A RESULT OF SUCCESSFUL INSURANCE CLAIMS PAID OUT BY UNITED COIN’s INSURER AND RECEIVED BY UNITED COIN.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS ON LIABILITY. ONLY DISCLAIMERS OR LIMITATIONS THAT ARE LAWFUL IN YOUR JURISDICTION ARE BINDING ON YOU. OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible. The other provisions of these Terms will remain in full force and effect.
You agree that you will bring any claim or cause of action arising from or connected to your access or use of our Services within two years from the date on which such claim or action arose or accrued or such claim or cause of action will be irrevocably waived. If the applicable laws in your jurisdiction state otherwise you are not bound by this limitation.
With respect to your UNITED COIN account, after a specified period of inactivity by you, UNITED COIN may be required to report and/or remit any bitcoins or other digital currency it is holding in custody for you. This is in accordance with unclaimed property laws and any other applicable laws in your jurisdiction.
UNITED COINs failure to exercise or enforce any right or provision associated with these Terms will not constitute a waiver of that right or provision in the future.
These Terms may be assigned by UNITED COIN to its parent company, affiliate or subsidiary, or in the event of a merger, consolidation, or sale or other disposition of all or substantially all of its assets.
